Companies and legal entities

Choosing the correct legal form; dealing correctly with the chosen legal form

Legal entities come in all shapes and sizes. B.V.’s are the best known, but we also have foundations, associations, N.V.’s, SE’s, church communities, the State and a few more. There are also companies that are not legal persons: the partnership, the general partnership and the limited partnership.

When choosing between all these forms of companies, tax aspects as well as civil law aspects play a role. We can help you make the right choice.

Well prepared

The different forms of companies and legal entities not only have their own advantages and disadvantages, you also have to deal with them differently and you can adapt them to your own wishes. Whether this concerns the relationships between the various corporate bodies, the capital structure of your B.V. or N.V., or the balance of power within the board of directors. We consult with you and draw up the necessary documents (where necessary in consultation with a tax expert and civil law notary).

Future-proof

It is important to ask yourself from time to time whether your company or institution still has the right legal form. Whether the articles of association still suffice. Whether the registration in the trade register and the UBO register are still up-to-date. Whether the capital structure could be more efficient. Whether the power balance is still to your liking. We are happy to spar with you.
